LAIT LEGAL TERMS & CONDITIONS

1. DEFINITIONS

You and Your mean the client detailed on the Order Form.

LAIT mean LAIT Legal Limited of 2nd Floor, 2 Woodberry Grove, Finchley, N12 0DR, United Kingdom.

LAIT Amount means the amount that equals twelve (12) monthly payments of the LAIT Monthly Amount on the Order Form.

Software means the LAIT Software, Forms, Precedents and other online content including a website.

Monthly Amount means the monthly amount paid for the number of Named Users ordered by you and includes the following benefits.

Continuous research, development and improvement (upgrades and interactive improvements) Support for The Software.
Hosting of Your data and documents on the LAIT Host Servers.
Access to integrated automated Print a form.
Access to integrated automated drafted letters.
Maintenance of the Matter Types — these evolve all the time LAIT is constantly refining and improving the fields of information and undertying calcutatlons in existing and new Matter Types.
Updates to the tables of Legal Rates and Charges.
Maintenance and ongoing improvement of the content and automation programming of the Forms.
Maintenance and engoing improvement of the content and automation Programming of the Letters.
Improvements and additional precedents to Forms and Letters to keep the legal content up to date.
Access to the free training videos via Learning Management System for support staff and lawyers.
Access to the LAIT online Help.
Unlimited access to the Help Desk for technical support.

LAIT Term means recurring minimum contract periods of twelve (12) months.

LAIT Renewal means a subsequent LAIT Term which automatically renews every 12 months.LAIT System Requirements means the LAIT System Requirements published on www.laitlegal.com which are subject to change without notice.

Major Problem means that either Software will not start or no users can access it.Named User means a user for whom the Service is being purchased and which may be used on multiple devices under that name but only one device per Named User may be used at any one time.

Service means the Software, Guides, Forms and Precedents, Rates and Charges updates and LAIT Website.Term means the recurring periods of 12 months during which the Software and Content is provided as a service.

Trial Period means the first 120 business days from date of installation.Additional Named User means a Named User purchased during a Term and for which payment is made monthly.

The LAIT Term starts ninety (90) days from the date of order acceptance or the date of installation of the Software, whichever is sooner.

2. RIGHT TO USE AND ADDITIONAL USERS

Your Rights to Use are as set out in the LAIT Right to Use Agreement available upon request and the software warranty is limited to the warranty contained in the LAIT Right to Use Agreement.
The number of Named Users cannot be reduced during a term including additional Named Users purchased after the Term has commenced.
LAIT may raise an administrative fee for making changes to your user arrangements.

3. INVOICING, PAYMENT AND CREDIT TERMS

All LAIT invoices are sent by email to your emall address as disclosed on the LAIT Order Form or to such other email address as you specify and are payable within the Period specified on the invoice.
The Monthly Amount is payable by Direct Debit only using a transaction agent nominated by LAIT.
In the event that an amount due to the LAIT for any reason or to a third party finance company for payment of the Monthly Amount becomes overdue , all telephone support, online services, content updating and access to Your LAIT Website will be suspended and access to the hosted data may also be suspended.
All overdue amounts may at LAIT’s sole discretion, attract Interest at the rate of 12 percent per annum.
Where any payments are belng made by Direct Debit, in the event of the Direct Debit transaction failing for three {3) or more months the total outstanding amount will immediately become due and payable and the provision of support, online services and content updating and access to Your LAIT Website will be suspended and access to the hosted data may also be suspended.
A dishonor fee may be charged for each failed Direct Debit.
In the event of a debt being handed over to a collection’s agency, you will be liable for all the legal costs associated with the collection of the debt.
All prices are exclusive of Value-Added Tax unless otherwise expressly stated.

4. COMMENCEMENT OF LAIT TERM

The LAIT Term starts ninety (90) days from the date of order acceptance or the date of installation of the Software, whichever is sooner.

5. INSTALLATIONS

The scheduling of installations is subject to the availability of resources and LAIT gives no undertaking of guarantee regarding the Instatlation date.
Onsite delays caused by your failure to comply with the LAIT System Requirernents will result in you being responsible for the additional costs occasioned by the delay.
Work that is performed by an external consultant is performed under their own terms and conditions signed by you.

6. INSTALLATION AND DATA ENTRY

The Software will be taken to have been property installed unless you advise LAIT otherwise, in writing, within 14 days of installation. LAIT will use reasonable endeavours to ensure accurate entry of all data provided by you prior to installation; however, LAIT does not accept respansibility for the accuracy of this date entry. All reasonable endeavours will be offered to assist you to ensure the accuracy of the opening balances entered but ultimately it is your responsibility to ensure this is the case. In particular, any problems encountered in relation to data conversion must be brought to LAIT’s attention, in writing, within 14 days of installation of the data.

7. YOUR INFORMATION TECHNOLOGY AND COMMUNICATIONS INFRASTRUCTURE

It is your responsibility to ensure that your information technology and communications infrastructure (ITC) meet the LAIT System Requirements and you should note that:

The Software may not operate property (or at all) on non-compliant hardware or platforms.
LAIT does not accept any responsibility for defects, data corruptions, software failures or performance degradation caused by viruses or other software or components on your hardware that may interfere with the way the Software operates.
It is your responsibility to ensure that Your ITC is properly maintained and is not changed in a way which may adversely affect the operation of the Software.
Any work done by LAIT as a result of a failure to comply with (i) to (iii) above may be charged to you at standard Development Rates.
During the LAIT Term, LAIT may offer a mandatory upgrade of the Software to versions. This will happen if the operating system or any third party component used by LAIT ceases to be supported by their respective vendors, or if LAIT decides that support of the existing version is no longer viable. In such cases, LAIT will offer the upgrade free of any licence fees, but may charge fees for data conversion, or refer you to a LAIT Partner where fees may also be charged.

8. RESPONSIBILITY TO BACK-UP DATA

Data and documents that stored in the server will be backed up by LAIT. It is your responsibility to ensure that ail other data stored locally is backed up. You acknowledge that you have no claim against LAIT for any loss or damage to data stored locally.

9. NATIONAL HELP DESK SERVICES

Help Desk services are provided from 8.30 am - 5.00 pm GMT on London, England and Wales Business days.
If the Software is not working LAIT will provide upgrades or a manual work-around free of additional charge provided the Monthly Amount is being paid. LAIT will use its best endeavours to make the Software operational as soon as practicable after receiving your support request.
LAIT does not rectify hardware, operating system or network problems or problems relating to third party software which is the responsibility of your ITC providers.
When LAIT is providing assistance, you must ensure that a sultably trained and informed user is available to demonstrate the problem and provide any information or reasonable assistance that may be needed to perform the services.

10. INTERNET SPEED

The Service is subject to the limitations inherent in the use of the Internet and other 3rd party communication software and devices and LAIT is not respansible for any delays, delivery failures, or other damages resulting from their use.

11. AVAILABILITY OF DATA AFTER TERMINATION

LAIT will never delete your data. However, in the evant this agreement is terminated, you will no longer have access and it is your responsibility to extract your data from LAIT. You will be provided with 30 business days to arrange this (this does not apply for cancellations under Clause 17). Alternatively, to continue to gain access to your data through LAIT, you will need to maintain at least a Single User on a month to month arrangement for so long as you require access. The Single User will be priced at the standard Monthly Amount.

12. FORCE MAJEURE AND DELAY BEYOND LAIT'S CONTROL

LAIT will not be responsible for delays or failure to perform resulting from acts beyond Its control, including but not limited to, acts of God, strikes, walkouts, riots, acts of war, epidemics, earthquakes or other disasters and failure of suppliers to perform including telecommunication breakdowns or interruptions and power failure.

13. FITNESS FOR PURPOSE

LAIT does not guarantee or warrant the fitness of the Software for any purpose other than the particular purpose for which it is supplied.

14. CLIENT ACKNOWLEDGEMENTS AND WARRANTIES

You acknowledge that:

LAIT does not warrant or represent that any legal or accounting information, precedents, letters, documents or examples provided are necessarily correct and up-to-date.
LAIT does not provide any legal advice or Legal services, accounting or bookkeeping advice by providing the Service.
Any legal Information, practice guides, legal forms, precedents, letters or documents are provided as examples only and are provided on the basis that all your users, being suitably qualified or working under the direction of sultably qualified personnel will rely on their own knowledge and enquiries as to the accuracy and custency of any information contained in the Service.

15. CONFIDENTIALITY AND PRIVACY OF YOUR INFORMATION

It may from time to time be necessary for LAIT to review your information for the purposes of providing data conversion or support services under this agreement. LAIT undertakes to exercise the utmost good faith in maintaining all such Information as confidential and will also comply with the requirements of the General Data Protection Regulation (GDPR) to the extent that the Act applies to any such information and will only use that information for the Purposes of this agreement. Any information collected will exclude personal information and document viewing sessions. Any information recorded will only be used internally with LAIT.

16. SERVICE COMPONENTS

LAIT reserves the right to substitute any Precedents included in the Service with an alternate Precedent suite at any time and without notice.

17. MONEY-BACK GUARANTEE

You may at any time after the end of the Trial Period and prior to the date twelve (12) months after the date of installation for your firm, apply to LAIT to cancel your order and refund the Monthly Amount you have paid, and LAIT will make the refund, subject to the following:

You and your staff must have completed the recommended training in the use of the Software and have used the Service continuously for the Trial Period.
You must have followed LAIT recommendation for implementing the software and training for you and your staff.
Only the Monthly Amount is refundable, and you must pay any moneys due or offset against the Monthly Amount for installation, training, consulting, conversion, travel time and costs and any other associated expenses or license fee rebates. You must pay any interest accrued as a result of a Software Funding Agreement. LAIT may deduct these before any refund is made.
Because you have the benefit of this money back guarantee, you agree that LAIT’s liability for breach of any warranty, term or condition in relation to the Service will be limited to:

In the case of goods - repair or replacement (at LAIT’s election) at LAIT’s cost.
In the case of services -re-supply those services.
or instead of (a) and (b), you can request a refund of your money during the twelve (12) Month Period as set out above.

5. Except as provided above in this clause, or where the injury is personal Injury, LAIT will not be liable for any other loss, damage, claim or expense however caused (including liability by virtue of contract or negligence) and LAIT shall not in any circumstances be liable for any indirect or consequential losses, loss of profits or business or damage to data or records.

18. CANCELLATION BEFORE COMMENCEMENT OF TRIAL PERIOD

You may cancel this Order at any time before commencement of the Trial Period by written notice to LAIT and subject to you paying LAIT.

Thirty percent (30%) of the LAIT Amount; and
All training, implementation management and conversion fees for work done to date of cancellation.

19. RENEWAL OF YOUR LAIT TERM

The LAIT Term will automatically renew for an additional 12 month contract term, unless you give LAIT notice of your intention not to renew your contract, in writing, at least 60 days before the end of your current LAIT Term. The Monthly Amount during any automatic LAIT Renewal will be charged at the then standard Monthly Amount.

20. ACKNOWLEDGEMENT

You acknowledge that you have conducted your own due diligence and selected the service based upon your own skill and judgement you have satisfied yourself as to the suitability of the Software.

21. SUPPLY AND SUPPORT TERMS AND CONDITIONS

These Supply and Support Terms and Conditions are subject to change without notice. The current version is published at www.laitlegal.com

22. ENTIRE AGREEMENT

This agreement constitutes the entire understanding between LAIT and You and supersedes all other negotiations, agreements or understandings whether written or oral relating to the supply and installation of the service and the other services provided under this agreement. All implied terms are hereby exctuded, to the full extent permitted by law and this agreement is govemed by the laws of England and Wales. You hereby submit to the exclusive jurisdiction of the courts of England and Wales for all disputes arising out of or in connection with this agreement.
